These Terms of Service (“Terms”) govern your access to and use of services provided by Digital Jar Marketing LLC (“Digital Jar,” “we,” “us,” or “our”), including but not limited to SEO, AI search optimization, and Google Ads campaign management.
By using our services, you (“Client,” “you,” or “your”) agree to be bound by these Terms. If you do not agree, do not use our services.
1. Services Provided
Digital Jar provides digital marketing services including, but not limited to:
Search Engine Optimization (SEO)
AI Search Optimization (visibility in LLMs like ChatGPT, Perplexity, etc.)
Google Ads Strategy & Management
Services are tailored to each client’s goals and market.
2. Engagement Terms
Month-to-Month Agreement
We operate on a month-to-month basis with no long-term contracts. You may cancel at any time with 7 days written notice before the next billing cycle.
Billing & Payment
Invoices are issued monthly in advance. Payment is due within 10 business days of the invoice date.
We do not charge late payment fees, but reserve the right to pause or terminate services for overdue accounts.
No Refunds
All payments are final. Digital Jar does not offer refunds for any portion of services rendered, paused, unused, or terminated early.
3. No Guarantee of Results
Marketing outcomes depend on numerous variables outside our control. Digital Jar makes no guarantees regarding rankings, traffic, conversions, or ROI. We do our best to provide data-driven strategies, but outcomes are inherently uncertain.
4. Client Responsibilities
Clients agree to:
Provide timely access to relevant platforms (e.g., website, analytics, ad accounts)
Respond to requests for approvals or deliverables
Avoid unapproved changes to campaigns or platform settings
Lack of cooperation may impact performance or timelines.
5. Use of Subcontractors
Digital Jar may engage vetted subcontractors or third-party vendors to assist in providing services. These collaborators work under the direction of Digital Jar and are bound by confidentiality and quality standards.
6. Intellectual Property
Deliverables created during your engagement are the property of Digital Jar until full payment is received. Upon full payment, applicable intellectual property rights transfer to the Client, excluding proprietary tools, processes, or templates used to produce the work.
7. Confidentiality
Both parties agree to maintain confidentiality regarding sensitive or proprietary business information shared during the engagement. This includes account credentials, marketing strategies, and performance data.
8. Termination
You may terminate your engagement with 7 days written notice prior to the next billing cycle.
Digital Jar may terminate services immediately if:
Payment is not received within 15 days of the invoice due date
The client engages in unethical, abusive, or fraudulent behavior
Continued collaboration becomes untenable in our professional judgment
All work completed up to termination will be invoiced and is payable by the client.
9. Limitation of Liability
To the fullest extent permitted by law, Digital Jar is not liable for indirect, incidental, or consequential damages, including loss of revenue or data. Total liability is limited to the amount paid by the client in the three (3) months preceding the claim.
10. Governing Law
These Terms are governed by the laws of the State of Utah, without regard to its conflict of laws provisions.
11. Dispute Resolution
Before pursuing legal action, both parties agree to:
Attempt to resolve disputes through good-faith negotiation
If unresolved, engage in non-binding mediation in Utah
Only after mediation fails may either party initiate legal action
Each party is responsible for its own legal fees unless otherwise ordered by a court.
12. Modifications
We may update these Terms from time to time. Updates will be reflected by the "Effective Date" above and communicated via email or client portal. Continued use of our services constitutes acceptance of any changes.
